Articles of Incorporation
ARTICLE I
NAME: The body hereby established shall be called “The United Chiefs and Councils of Manitoulin”.
ARTICLE II
LOCATION: The Head Office shall be at the place within Ontario designated by the General Assembly.
ARTICLE III
MEMBERSHIP:
(a) The members of this body shall be the Chiefs and Councils of the following First Nation of Ojibways, Ottawas and Pottawatomis:
-Zhiibaahaasing First Nation (formerly: Cockburn Island)
-Aundeck Omni Kaning First Nation (formerly: Ojibways of Sucker Creek)
-Sheguiandah First Nation
-Sheshegwaning First Nation
-M'Chigeeng First Nation (formerly: West Bay)
-Whitefish River First Nation
(b) A person shall automatically become a Member of the United Chiefs and Councils of Manitoulin upon becoming a Chief or a Councillor of one of these First Nations or of a First Nation that is admitted to membership.
(c) Any First Nation may request to become a Member of the United Chiefs and Councils of Manitoulin following three (3) steps:
(i) a vote of that First Nation’s Electors;
(ii) submission of a First Nation Council Resolution stating their intent;
(iii) First Nation Council Resolution is presented and accepted by a vote of the Chiefs and Councillors of the United Chiefs and Councils of Manitoulin at a General Assembly.
(d) Any First Nation may withdraw from membership in the United Chiefs and Councils of Manitoulin by the following three (3) steps:
(i) a vote of that First Nation’s Electors;
(ii) submission of a First Nation Council Resolution stating their intent;
(iii) First Nation Council Resolution is presented and accepted by a vote of the Chiefs and Councillors of the United Chiefs and Councils of Manitoulin at a General Assembly.
ARTICLE IV
ORGANIZATION OF THE COUNCIL
GENERAL ASSEMBLY:
Section I - Offices: The General Assembly of the United Chiefs and Councils of Manitoulin shall be composed of the Chiefs and Councillors of the Member First Nations.
Section II - Who May Attend: At General Assembly Meetings of the United Chiefs and Councils of Manitoulin any First Nation Member from a Membered First Nation of the United Chiefs and Councils of Manitoulin may attend and participate.
Section III - Meetings: A meeting of the General Assembly shall be held each year at a time and place to be fixed by the Board of Directors. Additional special meetings may be called by or requested through the Board of Directors.
Section IV - Quorum: A General Assembly Quorum will consist of the following attendance of Members:
- One Member - Cockburn Island First Nation
- One Member - Ojibways of Sucker Creek
- One Member - Sheguiandah First Nation
- One Member - Sheshegwaning First Nation
- One Member - West Bay First Nation
- One Member - Whitefish River First Nation
Section V - Voting: At General Assembly Meetings of the United Chiefs and Councils of Manitoulin decision-making shall be done by full concensus. If not possible, a majority vote consisting of fifty percent plus one shall constitute a decision. Each Member First Nation shall have one voting representative (Giigdonini).
ORGANIZATION OF THE COUNCIL
BOARD OF DIRECTORS:
Section I - Offices: The Board of Directors of the United Chiefs and Councils of Manitoulin shall be composed of the Chief or Councillors of Member First Nations.
Section II - Who May Attend: At Board of Directors Meetings of the United Chiefs and Councils of Manitoulin any First Nation Member from the Member First Nations may attend.
Section III - Meetings: Meetings of the Board of Directors shall be held at a time and place to be fixed by the Chairperson of the Board of Directors.
Section IV - Quorum: The quorum for the Board of Directors shall be constituted by the Chief or his designate who shall be a Council Member from
the First Nation. Any four of the Member First Nations shall constitute a quorum. The Board of Directors shall not transact business in the absence of a
quorum.
Section V - Voting: At a Board of Directors Meeting of the United Chiefs and Councils of Manitoulin decision-making shall be done by full consensus. If not possible, a majority vote consisting of fifty percent plus one shall constitute a decision. Each Member First Nation shall have one voting representative (Giigdonini).
ARTICLE V
Objects of the United Chiefs and Councils of Manitoulin
(a) To promote, foster, administer and manage programs and projects for the protection, advancement, benefit and general welfare and rights of all affiliated First Nations and Members.
(b) To assume and administer the responsibilities and services of any government agencies that the Board of Directors may direct.
(c) To administer and implement the laws and resolutions of the United Chiefs and Councils of Manitoulin and of the Board of Directors.
(d) To promote, protect and administer programs and projects for the social, educational, economic and cultural well-being of the people.
(e) To make necessary financial arrangements and/or arrange financial contracts, and generally to provide for the financial basis for the administration of services for the people fo the First Nations.
(f) Research any matters designated by the Chiefs and Councils.
(g) To administer, upon request, programs to provide for road construction, housing construction, other buildings and facilities construction, educational needs, land development and administration, economic development and governmental administration of the First Nations.
(h) To do whatever else necessary for the efficient execution of the above objects.
ARTICLE VI
OBJECTS General: Notwithstanding the objects in Article V, the United Chiefs and Councils shall not interfere with the internal affairs of any Member First Nation.
ARTICLE VII
AMENDMENTS TO CONSTITUTION: This Constitution may be amended by the General Assembly according to the voting structure as outlined in Article
IV.
ARTICLE VIII
BY-LAWS: Board of Directors may prepare By-Laws for the United Chiefs and Councils of Manitoulin for approval by the General Assembly.
ARTICLE IX
RATIFICATION: This Constitution shall come into effect when it has been ratified at a General Assembly on January 9-10, 1993.
